Business Consultant Agreement

Introduction
This Business Consultant Compensation Agreement (the "Agreement") is entered into between Educo Group ("Platform") and (“Business Consultant”) on this day of with the intent to establish the compensation terms for the educational services provided by the Business Consultant on the Platform.
Services: The Business Consultant agrees to offer educational courses or instruction in the field of Business Consultanting on the Platform. The Business Consultant shall develop the course materials, provide video lectures, facilitate discussions, and offer assessments to professionals enrolled in the courses.
Compensation Structure: The compensation for the Business Consultant shall be as follows:
a. Revenue: The Business Consultant shall be entitled to a 80 percent of the revenue generated from the enrollment and participation of professionals in their courses.
Taxes and Withholdings: The Business Consultant acknowledges and agrees that they are solely responsible for reporting and paying any taxes or withholdings arising from the compensation received under this Agreement. The Platform shall not be responsible for any tax obligations or filings on behalf of the Business Consultant.
Modification of Compensation: The Platform reserves the right to modify the compensation structure with prior written notice to the Business Consultant. Any modifications shall only apply to content offered after the effective date of the change.
Confidentiality: The Business Consultant shall keep confidential any proprietary or sensitive information provided by the Platform, including but not limited to professional data, platform technology, and business strategies. The Business Consultant shall not disclose such information to any third party without prior written consent from the Platform.
Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Business Consultant’s state. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the Business Consultant’s state.

Services: The Business Consultant agrees to offer educational courses or instruction in their field on the Platform. The Business Consultant shall develop the course materials, provide video lectures, facilitate discussions, and offer assessments to students enrolled in the courses.
Term: This Agreement shall commence and continue until terminated by either party with 7 days prior written notice.
Compensation: The Business Consultant shall be compensated as per the terms agreed upon separately, which may include revenue sharing, fixed fees, or any other mutually agreed method of compensation. The payment terms shall be discussed and agreed upon separately.
Intellectual Property: The Business Consultant represents and warrants that all the course materials, videos, lectures, and other content provided to the Platform are original and do not infringe upon any third-party intellectual property rights. The Business Consultant grants the Platform a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, display, and modify the course materials solely for the purpose of providing educational services to students.
Confidentiality: The Business Consultant shall keep confidential any proprietary or sensitive information provided by the Platform, including but not limited to student data, platform technology, and business strategies. The Business Consultant shall not disclose such information to any third party without prior written consent from the Platform.
Independent Contractor: The Business Consultant shall act as an independent contractor and nothing in this Agreement shall be construed to create an employer-employee relationship or partnership between the Platform and the Business Consultant. The Business Consultant is responsible for any taxes, insurance, or other obligations arising from their activities under this Agreement.
Termination: Either party may terminate this Agreement with written notice in case of a material breach by the other party or for any other reason with [number of days/weeks] prior notice. Upon termination, the Business Consultant shall fulfill any pending obligations and return any Platform-owned materials in their possession.
